Abstract

إن وجود الشركة مرتبط بالتمتع بالشخصية المعنوية كشخص مستقل عن الأشخاص الطبيعية وحتى الاعتبارية المكونة له، وبالتالي ارتباط الشركة وجودا وعدما بوجود هذه الشخصية وفق الشروط والضوابط المقررة لذلك، إلا أنه قد يطرأ عليها طارئ يؤثر بصفة مباشرة على شخصيتها المعنوية، كما قد يؤدي حتى إلى زوالها. هذه التغيرات قد تطرأ على الشركة أثناء تأسيسها أو في مرحلة ممارسة نشاطها أو عند حلها وانقضائها، مما يؤدي إلى عدم اكتسابها الشخصية المعنوية أو التأثير في عناصرها، أو إنهائها وزوالها، وما يترتب عن ذلك من آثار في مواجهة الغير.
